1. What Provasure is
Provasure is record-keeping and evidence-management software for Canadian businesses with obligations under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA). It helps you build a compliance program, keep client and deal records, log screenings and training, and assemble an examination binder.
Provasure is not a law firm and does not provide legal advice. Regulatory content in the product is general information sourced from public FINTRAC guidance; you are responsible for verifying your obligations with FINTRAC or counsel. Using Provasure does not guarantee any examination outcome.
2. Your account and acceptable use
You must provide accurate information when creating an organization and keep your credentials secure. You are responsible for the actions of users you add to your organization.
You may not use Provasure to store or process data unrelated to your own compliance program, attempt to access another organization's data, or interfere with the service's operation. We may suspend or terminate an account that materially violates these terms; where practical we will warn you first.
3. Subscriptions and cancellation
The paid subscription is billed as shown at purchase, together with any one-time setup fee. You can cancel at any time; cancellation stops future billing and your subscription remains active until the end of the period already paid. Except where the law requires otherwise, fees already paid (including setup fees) are non-refundable. If we change prices, the new price applies from your next billing period after notice to you.
4. Your data
Your records belong to you. You can export all of your organization's data at any time from within the product (JSON or CSV). Records are soft-deleted and retained in line with the five-year retention expectations that apply to reporting entities; see the Privacy Policy for details.
5. Availability and changes
We aim for high availability but do not guarantee uninterrupted service. We may improve or change features; we will not materially reduce the core record-keeping capability of a paid plan during a paid period. We may also update these terms from time to time: for material changes we will give notice by email or in the product before they take effect, and your continued use after the effective date is acceptance of the updated terms.
6. Liability
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, Provasure is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data.
Provasure's total aggregate liability for all claims arising out of the service is limited to the fees you paid in the twelve months before the event giving rise to the claim. You remain solely responsible for meeting your regulatory obligations: Provasure is not liable for regulatory penalties, examination outcomes, or decisions about whether and what to report to FINTRAC, which depend on your own compliance conduct. Nothing in these terms limits liability that cannot be limited under applicable law.
7. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Any dispute will be brought in the courts of Ontario, and both parties consent to their jurisdiction. If any provision of these terms is found unenforceable, the remaining provisions stay in effect.
